Progress on payments

As mentioned in our previous post on January 17th, the secured creditor had indicated that they “will waive any right to these funds and has asked that these funds be paid to the sellers in those sales as soon as practical.”  The secured creditor was specifically referring to funds separately identified by Vinfolio for fixed price auction and Marketplace transactions completed from January 1, 2010 to January 15, 2010 (the payment period just prior to the Assignment for the Benefit of Creditors).

What’s a “completed” transaction?

  • Marketplace – Completed transactions are based on the date the wine passed Vinfolio’s inspection after it was physically received (as evidenced by the date the seller was sent a “Sale Completed” email).
  • Fixed price auctions - Completed fixed price auction sales measured are as of the date the sale was made and invoiced.

What’s authorized for payment?

Some good news! The secured creditor has just authorized checks from these transactions (as defined above) to be issued (although it may take until early next week for them to be processed and mailed).   The issuance of these checks will bring these Marketplace and fixed price auction transactions after December 31, 2009, current.  UPDATE ON JAN. 29: The Assignee has just informed us these checks will be mailed on Thursday or Friday of next week.

Payment for transactions completed after January 15, 2010 is being managed by the Assignee and, the funds are being segregated for payments owed to sellers (although processing will take longer than usual during the Assignment which took place on January 15).

Transactions on or before December 31, 2009

For those Marketplace and fixed price auction transactions completed on or before December 31, 2009 for which payments have not been made or for which checks did not clear, we are still reviewing the situation for how those transactions can be appropriately addressed.  We do not expect to be able to provide any further news on these transactions until next week at the earliest.

More information when available

As we’ve stated recently, we realize the situation has its challenges, but we are focused on minimizing disruptions to day-to-day operations.  We are working diligently to address issues that this situation has created and ask for your patience as we work through the process.  As more information becomes available, we will share it.  While this may mean that some questions won’t be answered immediately because they require more investigation or are not in our control, please understand that we are not ignoring these issues and continue to work toward resolutions.

I am disappointed. It appears that the new owners/managers got a good deal and does not care about those customers like my self who have lost hundreds or thousands of dollars due to bounced checks. Until my check is made whole I will no longer purchase wine or sell wine on the Vinfolio market place

I am very pleased that I will be receiving the payment that I am owed which is in the thousands of dollars. I am however, upset about the fees I have incurred because of the returned check. My financial institution will not waive these fees, and it seems that I will not be "made whole," I will merely be finally receiving what was due to me, with no regard for the monies lost and devastating inconvenience this has caused. That is upsetting, and makes me fearful of doing business here again. I will say, however, that the customer service staff has been truely amazing in trying to calm and mitigate the legitimate outrage of the clients during this blunder committed by their company.

I have to say this last bit of news is a relief. I can fully understand the position of many of the other clients that have yet to be paid or reimbursed from this upset. I would like to believe, as my experience would lead me to do so that all monies willbe paid in as timely fashion as is possible.
I am very glad that i will not be out of hundreds of dollars as was feared, and to help the situation for the others yet to recieve payments, will still continue to use this valuable resource to sell my wine.
It must be reitterated, but a big Cheers to the Customer service people! They are doing a fabulose job and if it were within my budget a bottle of champers would be on it's way...unfortunately somebody already bought my Pol Roger Winston Churchill 96!!!
Keep up the good work and thank you again, goes to show, patience is a vertue!!!

I hope what is stated above regarding payments comes to fruition as the window of opportunity for VF to manage further damage to its reputation is closing quickly. I've sold through Marketplace and think the concept is viable (with some minor tweeks) and hope things work out.

Steve - For those of us who are strictly storage customers (and came over from Vintrust), this whole thing is very worrisome. Can you please explain in laymans terms what is both the short term and long term prognosis for Vinfolio. Secured creditors and assignment don't provide a plain English explanation regarding what is going on.

It strikes me as rather unusual to consider a transaction
"completed" before the contract has been fulfilled ; namely
the seller being in receipt of their funds.

What is the best way of assuring customers that in the event of a bankruptcy filing or liquidation, the wine stored remains our assets and not pooled for disbursement to all creditors? Is there some bankruptcy law or precendent you can point to? I know that you are claiming that this is not a current posasibility and have offered assurances that this could not happen, it would be more reassuring to know what the legal framework is.

On customer wine in our storage facility, the legal framework is simple: Vinfolio does not have title to the wine; the customer does. Customer wine is NOT an asset of the Vinfolio business. It is NOT on our balance sheet.

So why isn't the legal framework equally clear on the funds you hold from the sale of wines in December. You sold those wines as agent and there is no legal right to those funds by anyone other than the owner of the wines.

You know I'm small time, but you "completed" my transaction today but won't credit my account and I find that odd. Specifically I took a credit which means I want wine you continue to have and sell. I get your countless emails daily. I personally shipped my wine after the news because I was going to be docked $8 per bottle if I did not. So I took the chance. Clearly I should not have because, as nice as you all seem to be, the facts are not in my favor one bit:

1. Me out shipping for wine
2. Me out shipped wine
3. The buyer up my wine when you ship it
4. You up $250 from the seller for my wine
5. Me up nothing

It's like trading your car in and having the dealer sell your old car without letting you drive off the lot with the new one.

You should be able to sell for credit in the Marketplace as far as I know. Let me have someone investigate.

Thank you, that is what I assumed, and was shocked to be told I had to wait even for a non-cash, Marketplace credit.

As an aside, it seems as though credit for Marketplace transactions would be a great way to further you capital through your tough times. That way, you are out no product and are simply skimming money off the top by acting as the agent on our transactions.

I confirmed that Marketplace sales for credit are continuing. Credits are simply a form of payment like a check and are issued at the same time a check would be issued. That means that the wine has to be physically received by us and pass inspection first. As it turns out, for your last transaction, that step just happened TODAY which means it is now "completed." The payment cycle for completed transactions still has to occur and when it does, your credit will be issued.

I know that the Finance dept. is working on calculating the amounts due for Marketplace and fixed price auction sales for the second half of January now. As your transaction missed that period, it will fall into the next one and your credit will be issued at that time. Unfortunately, I cannot commit to a specific date right now but we are striving to streamline the payment process with the Assignee to shorten the period as much as possible.

Steve - I would still like you to explain the "assignment" of the company, and what is the short term and long term prognosis. Bottom line, do I need to find a new storage facility?

I am not authorized to explain more about the assignment than what has already appeared in the four blog posts to date. That's a function of the legal process we're in.

With regard to Vinfolio's prospects, I can't comment officially for the same reason but it is my personal opinion that with regard to storage, the business is too large for it not to continue under someone's management. All of my wine in storage is still there and I have no intention of moving it. Operations are also continuing as normal. Keep in mind that your wine is your wine. Vinfolio has no title to it and no creditor can claim it.

Sorry to hear the news as have been a big fan of vinfolio for years.

What about any paid orders that are still under pre-arrival status? Can these be canceled and refunded?
